You acknowledge and agree that any electronic communication in the form of such email, text (SMS) or posting on the Website shall satisfy any legal requirement that such communication be in writing.
Security
By creating an account with us, you acknowledge and agree that you are solely responsible for maintaining the confidentiality of your account information (including without limitation, username and password). You must treat your username and password, and any other security details, as confidential, and not disclose it to any other person. You must also prevent unauthorized access to your account. In addition, you must: (a) log off from your account at the end of each session on our site; and (b) notify us immediately of any unauthorized use of your username and password or any other breach of security. You agree to accept responsibility for all activities that occur under your account.
Restrictions on and Termination of Use of the Website/Service
We have the right to suspend or close any account with us and block your use of our site if you have failed to comply with any part of the Terms & Conditions (as determined by us in our sole discretion). You understand that your account is individual to you and/or your organization, and we may suspend or close your account if you attempt to transfer or use your account to/for another person or organization. Terms of Sale
All product sales from the Website are governed by any terms of sale that may be posted on the Website. Prices and offers are subject to change. You should refer to our terms of sale to learn more about our return policy, and shipping information. By ordering and/or accepting delivery of the products, you agree to be bound by these terms of sale. The terms of sale are subject to change without prior notice at any time, in High Precision Gas’s sole discretion, so you should review the terms of sale each time you make a purchase. Additional information may be found in our online shopping sections of the Website.
Terms of Payment
Except as provided in a separate written agreement, such as a Product Sale Agreement Buyer shall make payment in full upon delivery. All major credit cards are accepted. PayPal, Apple Pay, Google Pay and Amazon Pay are accepted for on-line orders only. For your convenience, we will save your bank or credit card information. You may be charged local tax, if applicable. If your payment method is declined, we will attempt to process your charge until the transaction is approved. If we are unable to complete the transaction, we may contact you directly to update your account information. We are not responsible for any fees or charges that your bank or credit card issuer may apply. If your bank or credit card issuer reverses a charge to your credit card, we may bill your account directly and seek payment by another method including a mailed statement. The risk of loss and title for items purchased by you passes to you upon our delivery of the items to the carrier.
If Buyer has received credit approval from Seller, continued open account credit is subject to Seller's assessment of Buyer's financial condition and ability to pay. Buyer represents and warrants that Buyer is and shall remain solvent until Seller receives payment in full for the Products and/or Services. If Seller employs any collection agency or attorney to collect any amount due Seller, and/or to repossess any Products, Buyer shall pay all collection fees, attorneys' fees, and court costs, in addition to the amount otherwise unpaid.
Sales Tax Policy
In connection with the sales of goods, the Website collects and remits sales tax as required by applicable law.
Title to Products
Until Buyer pays Seller in full, title to the Products shall remain in Seller's name and Seller shall have a purchase money security interest in the Products. If Buyer shall default in any payments, Seller shall have all the rights as holder of such title or as such secured party under the Uniform Commercial Code and/or any other law then in force; and Seller may, in addition, retain as rental any payments received by Seller on account of the purchase price of the Products, whether Buyer's default shall have occurred before or after delivery. If Seller repossesses the Products, Seller may resell the Products after ten (10) days' prior written notice to Buyer. Seller may file one or more financing statements to perfect its security interests. If necessary, Buyer shall execute such financing statements upon request. Buyer shall not cover, modify or remove any identification or other indicia of Seller’s ownership on any rental equipment. Title to all rental equipment shall remain in Seller's name.
Cylinders
Unless otherwise specified, cylinders, fittings and caps covered by these Terms are rented by Seller to Buyer at Seller’s current daily rates, beginning with the date of delivery. Rental charges are assessed as of the last day of each month or at the start of each annual lease period, as applicable. Buyer shall not permit cylinders or other storage containers furnished hereunder to be filled with any product not furnished by Seller or its authorized agent. Buyer shall return, in a good and non-contaminated condition, all cylinders, with valves closed, complete with caps and fittings and shall pay Seller the replacement value of: (1) any lost or damaged cylinders, caps or fittings and for any loss or damage caused by Buyer contamination; or (2) those cylinders not returned to Seller within three (3) months from date of shipment to the Buyer (other than those subject to an annual lease) or, if damaged and the damage can be repaired, the cost of making such repair. Payment by the Buyer of charges for damaged, lost or destroyed cylinders shall not give any ownership interest in the cylinders to the Buyer.
Return Policy
Returned goods will not be accepted without an RGA (Returned Goods Authorization) number from High Precision Gas and products must be returned in their original shipping condition within fifteen (15) days of receipt and may be subject to a restocking charge. Custom orders and orders with options cannot be returned.
Shipping Information
All prices are F.O.B. (Freight on Board) factory. Freight charges will be prepaid, collect or prepaid and added to the invoice (upon approved credit). Most products are in inventory and ship within 1 to 2 business days from the time an order is received. Large and/or custom orders vary in shipping times and may be drop shipped from separate locations. Specific shipping dates cannot be guaranteed. Products are generally shipped via U.S. Mail or motor freight. Expedited deliveries are available for an added cost. Rates are dependent upon weight, size, destination and products ordered. Contact us for a freight charge quotation. Should an order exceed size and/or weight limitations, motor freight will be used. Freight delivery is curbside. Inside delivery and lift-gate service can be arranged for an additional charge. When necessary, equipment is banded and stretch wrapped to pallets. When delivered to the transportation company, shipments become the property of the purchaser. Before acceptance, the extent of any damage should be noted on the bill of lading.
Warranty
High Precision Gas provides a ninety (90) day limited warranty to the original purchaser. Warranty covers defects in material if reported in writing to High Precision Gas within ninety (90) days of the delivery date. This warranty is limited to the cost of the products and does not include installation costs, transportation costs, damage due to adverse weather conditions, misuse or alterations by the customer. High Precision Gas, at its option, may replace the defective products. Returned goods will not be accepted without a returned goods authorization (RGA) from High Precision Gas and must be shipped freight prepaid to High Precision Gas, 10770 Painter Ave., Santa Fe Springs, CA 90670.
Compliance
Buyer, its employees and agents shall comply with all applicable federal, state and local laws regarding the safe handling, transportation and use of the Products, including without limitation under the Emergency Planning and Community Right-To-Know Act and the Occupational Safety and Health Act.
Technical Assistance
Unless otherwise expressly agreed: (i) any technical advice provided by Seller with respect to the use of Products or Services furnished to Buyer shall be without charge; (ii) Buyer shall have sole responsibility for selection and specification of the Products or Services appropriate for the end use of such Products or Services; and (iii) SELLER MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND ASSUMES NO OBLIGATION OR LIABILITY FOR ANY TECHNICAL ADVICE, OR FOR ANY RESULTS OCCURRING AS A RESULT OF THE APPLICATION OF SUCH ADVICE. Examples of such complimentary technical advice include, without limitation, brochures, literature, website or catalog descriptions, SDSs, free on-line training resources, and similar information materials.
No Agency Relationship
Except where provided for in a separate agreement with High Precision Gas, no agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by the Terms & Conditions. Without limiting the foregoing, except as expressly set forth herein, High Precision Gas is not acting and does not act as an agent for any user or visitor of the Website or Service.

Except where expressly provided otherwise by us, the website and service are provided “AS IS,” and for solely as contracted herein. Except for the express warranties set forth therein, we herby disclaim all express or implied representations, warranties, guaranties, and conditions with regard to the website and service, including but not limited to any implied representations, warranties, guaranties, and conditions of merchantability, fitness for a particular purpose, title and non-infringement, and quality of products and services offered through the website except to the extent that such disclaimers are held to be legally invalid. We make no representations, guaranties or warranties regarding the reliability, availability, timeliness, quality, suitability, truth, accuracy or completeness of the website or service and/or materials associated with or goods offered via the website or service, or the results you may obtain by accessing or using the website, service and/or materials associated therewith. In no event shall high precision gas or the third-party providers, including High Precision Gas LLC. and its officers, directors, employees and agents, be liable to anyone for any indirect, punitive, special, exemplary, incidental, or consequential damages, or for any damages to your computer, telecommunication equipment, or other property and/or for loss of data, content, images, revenue, profits, use or other economic advantage, arising out of, or in any way connected with these terms & conditions, including but not limited to the accessing or use of, or inability to use, the website and service therewith including but not limited to downloading of any materials, regardless of cause, whether in an action in contract or negligence or other tortious action, even if the party from which damages are being sought or the third party provider have been previously advised of the possibility of such damages. The limited of liability set forth in this section shall not apply in the event of customer’s breach, or related to its indemnity obligations. This paragraph shall not affect the right listed below in the section titled “Indemnification.”
Indemnification
You agree to indemnify, defend and hold harmless High Precision Gas LLC., its officers, directors, shareholders, employees, agents, licensors, and suppliers from and against all losses, expenses, damages and costs, including but not limited to all attorneys’ fees charged to High Precision Gas LLC. Or its affiliated person/entities, resulting from any violation of the terms & conditions by you or any other person accessing the website or service on your behalf.
Conflicts
In the event of a conflict or contradiction between these Terms & Conditions and any others that relate specifically to a particular section of the Website, the specific terms relevant to that section shall prevail.
Resolution of Disputes – Mandatory Arbitration and Class Action Waiver
We offer the following process to help you resolve a complaint or Dispute (as defined below) that you may have with High Precision Gas, any goods sold via the Website, or use of this Website. Please read this section carefully. Our Customer Service Department, which you can reach at info@highprecisiongas.com can help you resolve most of your concerns. If our Customer Service Department is unable to resolve your complaint or Dispute, you agree to take the following steps to resolve any Dispute you may have with us.
Step 1. Notice of Dispute
You must first try to resolve any complaint or Dispute with us through our Notice of Dispute process. You begin by submitting a “Notice of Dispute” with any supporting documents or other information by U.S. Mail to:

A “Notice of Dispute” is a written form in which you provide your name, address, contact information, email address, the facts regarding your Dispute, and the relief you are requesting from us. Once we receive your Notice of Dispute, you and we will attempt to resolve any Dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is received by us. If an agreement cannot be reached within sixty (60) days of receipt of the Notice of Dispute, you or we may initiate an arbitration proceeding or small claims action as described below.
You agree that the term “Dispute” in this Agreement will have the broadest meaning possible. It applies to any dispute, action, or other controversy between you and us relating to the Website, any goods offered or purchased from us, any transaction or relationship between us resulting from your use of the Website or purchase of any goods from us, communications between us, the purchase/order/use of goods from the Website, or this Agreement – whether in contract, warranty, tort, laws, or regulation. The term also applies to any dispute over the validity, enforceability, or scope of this arbitration provision.
Step 2: Arbitration
If your Dispute is not resolved to your satisfaction within sixty (60) days from when we received your Notice of Dispute, you and we agree to arbitrate all Disputes between us. As explained below, you and we also may also have the right to bring an individual action before a Small Claims Court for certain claims. You agree that arbitration or a small claims action will be your sole and exclusive remedy to resolve any dispute with us. The Federal Arbitration Act applies to this Agreement.
By agreeing to arbitrate, you are giving up the right to litigate (or participate in as a party or class member) any and all Disputes in a court before a judge or jury (except Small Claims Court). Instead, a neutral arbitrator will resolve all Disputes.
To read more about arbitration, visit www.adr.org. The American Arbitration Association (“AAA”) will conduct any arbitration under its Consumer Arbitration Rules in effect at that time. You can review the Consumer Arbitration Rules here. You may begin an arbitration with us by completing a Demand for Arbitration form, available here. The completed form(s) should be returned directly to the AAA. The AAA will assign someone to manage your case. You will be contacted with instructions for continuing the arbitration process. Be sure to keep a copy of everything you send to the administrator of your arbitration or us. If, for any reason, the AAA is unavailable, the parties shall mutually select another arbitration forum which will be governed by the AAA Consumer Arbitration Rules. The AAA rules will determine whether the arbitration will take place through written submissions by you and us, by telephone, or in person.
Class Action Waiver
Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis. Class arbitrations, class actions, private attorney general actions, consolidation of your Dispute with other arbitrations, or any other proceeding in which either party acts or proposes to act in a representative capacity or as a private attorney general are not permitted and are waived by you, and an arbitrator will have no jurisdiction to hear such claims. If a court or arbitrator finds that the class action waiver in this section is unenforceable as to all or some parts of a Dispute, then the class action waiver will not apply to those parts. Instead, those parts will be severed and proceed in a court of law, with the remaining parts proceeding in arbitration. If any other provision of this Dispute resolution section is found to be illegal or unenforceable, that provision will be severed with the remainder of this section remaining in full force and effect.
Costs
If you initiate an arbitration with the AAA, we will promptly reimburse you for any standard filing fee you may have been required to pay by the AAA once you have notified us in writing and provided a copy of the arbitration demand. However, if we are the prevailing party in the arbitration, we will be entitled to seek and recover our attorneys’ fees and costs, subject to the arbitrator’s determination and applicable law.
Small Claims Option
You may also litigate any Dispute in Small Claims Court in the County of Los Angeles, California, if the Dispute meets all requirements to be heard in the Small Claims Court. You can learn more about the Small Claims Court in the County of Los Angeles by clicking here. However, if you initiate a Small Claims case, you are responsible for all your court costs.
Choice of Law and Forum Selection
You agree that the laws of the State of California govern this agreement and any claim or Dispute or issues arising from it, without regard to California’s conflict of laws rules.
Unless you and we agree otherwise, in the event that the Agreement to arbitrate above is found not to apply to you or to a particular claim or Dispute as a result of a decision by the arbitrator or a court order, you agree that any Disputes or claims that you may have against us will be resolved by a state or federal court located in Los Angeles County in the State of California and you agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

This notice is for users of the Website residing in the State of California.
